The Italian-backed consortium, fronted by Solihull businessman Gianni Paladini, has submitted the formal offer to try to seize control from Carson Yeung. Peter Pannu, Blues’ acting chairman and boss of parent company Birmingham International Holdings Limited (BIHL), is sifting through the fine details. But shareholders in BIHL will see more than £50 million of the original investment wiped out if they sell the club to the Paladini consortium. Pannu will consult with Blues president Mr Yeung this weekend and the board of BIHL and will also ascertain whether the other interested party, a Chinese-Hong Kong consortium, wants to make a counter-offer. Gianni Paladini The Italians came back in with an improved bid, based on an initial £17 million down payment, and put it in writing, as requested of them. It was a significant move in the battle for Blues that showed they mean business. Negotiations with various groups have been ongoing for several weeks. But a potential Indian buyer has cooled and appears not to want to make a formal move – if one at all – until after Mr Yeung’s court case. Mr Yeung goes on trial over alleged money laundering worth £59.7 million at the end of the month. He purchased Blues, through Grandtop International, which is now BIHL, in a £81.5 million deal in October 2009. Peter Pannu But there is no way he nor the rest of the BIHL shareholders could hope to recoup that much. Chronic financial problems at BIHL, plus Yeung’s assets freeze order when he was arrested, have seen the standing of the firm plummet and Blues have to sell some players in order to continue as a going concern. Most observers seem to value BIHL’s 96 per cent stake in Blues at around £15 million. Blues owe Mr Yeung £13.7 million for a loan and a further £7.8 million to BIHL. Mr Paladini’s group are keen to be granted a period of exclusivity so they can implement financial due diligence. Any change in the ownership of Blues would not happen in days, more likely months. If Mr Pannu, as the BIHL chief executive officer and managing director, recommends to shareholders that they should sell to the Italians, an EGM would have to be called. Football finance expert Peter Knowles said Birmingham International Holdings’ investors could grab the opportunity to recoup some of the losses following the ill-fated tenure. “I would have thought that in the circumstances they would like to get some of their money back. BIHL do not appear to have any money so may well need money to survive,’’ he said. “I can’t say if £30 million is realistic, but in the context of what people pay for football clubs, it does not seem that much. ‘‘If this bid goes through, they are going to lose nearly two-thirds of what was put in. Gianni has been a friend of mine for nearly 30 years and having spoken to him this week, I can say that he is hopeful that the bid to buy Blues will come to fruition. I can also say that he is very pleased with the way Blues’ acting chairman Peter Pannu has dealt with the discussions between the two parties. These things are never done until they are done, but I understand the Paladini group are happy with progress so far. But Birmingham owner Carson Yeung is yet to officially accept the former Queens Park Rangers chairman's second bid and could still reject it. Paladini's lawyers have paid £60,000 to look through the books at St Andrew's and are confident of reaching a resolution, with Birmingham facing the prospect of selling Butland if a takeover is not completed by the start of next year. Nikola Zigic's £55,000 a week wages are a substantial drain on finances and the lack of cash means Butland will almost certainly have to be sold to keep the club going if Paladini's bid fails. "I still believe Birmingham can get into the play-offs and our intention is to sign four or five players in the transfer window to strengthen the squad. "We have spent a lot of money trying to get this completed and are currently looking through the books. The attempt to wrestle control from Carson Yeung by the Italian consortium, fronted by Paladini, was cranked up and lurched into farce yesterday. After Paladini expressed his hope that a deal could be done within ten days, there was a stirring in Hong Kong. Peter Pannu issued a statement claiming Blues were not in ‘active negotiations’ with Paladini and Co. Paladini in turn was angered by that and said everything was off. Finito.
He felt he had been made to look an ‘idiot’.After a while, his stance softened and, insisting that talks had been going on for three months, said the Italians remained willing to buy Blues. But it was up to Pannu. “If he doesn’t want to sell the club, he doesn’t want to sell the club,’’ said Paladini. “We have worked very hard to make this deal happen. The deal is there, he knows the conditions, even the dates of the payments. “If Peter Pannu calls me, we can do this pretty quickly – tomorrow, the day after. First, Solihull-based businessman Gianni Paladini said he was hopeful of buying Blues within the next ten days for £30 million. Then, acting chairman Peter Pannu denied that the board were in ‘active negotiations’ with anyone, which initially prompted Paladini to call the whole thing off. Then, Gianni softened his stance, saying that the offer was still on the table but that he wasn’t waiting for ever for a decision. Well, having known Gianni for over 30 years, I can tell you that the bid is absolutely serious. The consortium he is fronting definitely want to buy the club – but something has to be done soon. Clearly, they want to do the best they can to help Blues – and that means getting their feet under the table in time to be able to do something in the January transfer window. The current squad may be good enough to hoist the club up the Championship table and into the play-off picture but the financial position isn’t great and at the moment, it’s a question of how long Blues can carry on in their present state. Attendances at St Andrew’s are falling to disturbing levels and if something isn’t done soon, a new owner coming in during the transfer window could find themselves under pressure to sell off top players like Jack Butland and Nathan Redmond, just to keep the club afloat – and I know that Gianni doesn’t want to do that. Which means a deadline to get the deal done in time probably is the end of this coming week. Selling a football club is different to selling a furniture business, for instance, or selling a piece of real estate – there’s a community involved, so it has to be done with a view to the right outcome for that community. I believe Gianni understands that and if his consortium do buy the club, they will want to do things properly – they won’t want to walk in there after the transfer window has closed and find that they can’t fix whatever it is that needs fixing. It’s obvious that if that happened and things didn’t work out in the way Blues fans had hoped, people wouldn’t appreciate that and the new owners would take some stick. And Gianni wouldn’t want to do that. His track record in getting QPR into the Premier League was first-class – Blues fans would certainly settle for that at the moment – so why would he want to tarnish that reputation? The Paladini consortium think their offer is a good one – but they also believe that if Pannu and Carson Yeung have a better one, they are entitled to go for it. The former QPR chairman’s consortium tabled an improved £30million bid last month after having a previous offer turned down. Negotiations were believed to have stalled. But Paladini, whose group faces competition, is still hopeful he can seal a deal before Christmas. Two other parties, from Hong Kong, are also said to be interested in taking over at St Andrew’s.

Share on print Share on email Gianni Paladini has pulled out of talks with Blues Gianni Paladini has pulled out of talks with Blues Acting chairman Peter Pannu has been in talks with a couple of Hong Kong groups, one being The Shanghai Media & Entertainment Group and the other being an un-named Chinese company. The talks with the Shanghai Media group appear to have ended with no agreement reached, despite it getting to the advanced negotiation stage according to Pannu. I must admit to not getting excited because the group, as I understand it, had not done due diligence by examining the up-to-date financial situation at the club. What does worry me is that if Paladini is the only player left in the game then where does that leave Pannu, who was openly very critical of the Italian in a statement to the Hong Kong stock exchange just a few weeks ago. Paladini is now in the driving seat and, as I understand it, is unlikely to increase his bid for the club from the original deal worth £30 million. What makes Blues fans angry is the prevarication and delay, as a sale was needed quickly to enable the new owner, whoever it was, to take advantage of the January transfer window. As it stands it seems highly unlikely that the club will be sold in time for this to happen, especially with the Christmas shutdown affecting the 28 day notice to shareholders of any offer received. The sooner this drawn out debacle is over the better so club can move forward.

But he could not hide his frustration over his drawn-out pursuit of the club as he branded Pannu the “invisible manâ€. “My lawyers have been in touch with me to confirm we have a meeting with Birmingham City representatives and Pannu on Monday,†Paladini said. “Hopefully, we will then be able to agree to all the terms and conditions so a deal can go ahead. “However, it is like dealing with the Invisible Man. The extract also claimed the consortium led by Mr Paladini would find another club to buy.
