CLUB STATEMENT: RESPECT FOR AGS Posted on: Tue 24 May 2011
Following Monday's exciting announcement of the Club's superb new sponsorship and investment deal with Ameriturf Global Sports (AGS), a number of people pursuing their own interests in respect of Port Vale have seen fit to carry out a series of entirely unworthy actions aimed at the Club's new and wholly respected partners.
These actions include, amongst others -
*People calling the AGS offices purporting to be Radio Stoke reporters, in order to present extremely negatively biased questions to our partners
*People calling the AGS offices and making aggressive, abusive and obscene comments to the staff and principals
*People posting a series of misleading and outright dishonest comments about AGS on an independent Port Vale related website
We have reassured our partners in AGS that the great majority of Port Vale fans are decent and genuine people who are equally embarrassed and appalled by these and various preceding unprincipled assaults carried out by this group, in pursuit of their agenda.
We have wholeheartedly apologised to AGS, on behalf of the Club and all of those decent Port Vale fans, for the demeaning actions of those few who are currently disgracing the shirt.
One of the AGS principals, Tim Hollinger, has shown the sterling qualities of himself and of AGS by the following comments in response:
"While we must keep a clear perspective that the untoward actions of a small group of "fans" today has spoiled what should have been an exciting day for some of us over the pond, it may be worth reminding fans generally that these actions can ultimately potentially damage the Club, as sponsors and sponsors' connections may be scared off altogether from trying to assist in moving the club forwards in a positive way.
"I am sure this is only a minor glitch and don't worry about our commitment to press forwards and make this project happen.
"You can assure the fans that their Club has partnered with a class sponsor, which has unsurpassed connections in worldwide sport and whose business partners likewise are world class.
"AGS remains dedicated to the development of these exciting projects, which will bring long-term benefits to the Club, to its supporters and to all of the people of the North Staffs community."
AGS and Port Vale here jointly state some points of fact in order to dismiss the various misleading and dishonest statements which have been made:
*The new AGS website that is being built to support this brand new joint venture is presently in beta testing, and will soon be fully operational
*AGS is based in California not in Atlanta, Georgia
*AGS is a newly-formed division of Ameriturf Systems, and is focused (mainly but not exclusively) upon operations outside the USA
*AGS's investment is not seen in any shape or form as a "loan", other than the element specified in the agreement which is exactly in line with the legal conditions set out by the Club's solicitor (and which is set aside as an interest-free loan until such time as the 24.9% rule permits that it be converted into further shares in the Club.)
*AGS's provision of superb facilities for the new Port Vale sports complex is not in any way dependent upon PVFC matched funding
*Brian Melzack is a gentleman who made the initial introductions and has then further contributed a great deal to the development and completion of this far-reaching joint venture between AGS and Port Vale. Both AGS and Port Vale extend their sincere thanks to Brian, and we are sure that all decent Port Vale fans will similarly appreciate all that Brian has done for their club.
It has been jointly decided that the best policy from this point on will be to refer all enquiries about AGS and their partnership with Port Vale to the Club.
Any party who has constructive questions or comments to offer is most welcome to contact the Club.

Have to say, I have no idea what's going on there and probably care even less. I'm not sure why fans would be opposed to investment coming into the club but as I said, I've no idea what's going on.

The Newcastle-based millionaire is ready to spend £1.21m to gain a 51 per cent controlling stake in Port Vale. But it has emerged that a clause in the 2006 loan agreement between Vale and the city council says the authority is entitled to "request" full payment of the unpaid loan debt, worth about £1.9m plus interest, within 60 days of the club changing hands. Chaudry insists this is out of the question, adding: "I want to inject £1.2m into the club, and that bid was based on reaching a settlement with council. "I found out about this clause several weeks ago. Such a situation is not acceptable or conducive to anyone investing in the club. "I would still pursue my bid, but I would want my advisers to talk to the council to find a resolution. "If we could not do that then I would have to withdraw it. "My original business plan never included paying £3m for a 51 per cent controlling stake. "I'm paying a premium price of £1.21m, which is already well over the odds. "So I'm not going to be held to ransom by third parties, and under no circumstances would I pay the amount in one go. "It's irrelevant whether I can pay the money, it's about paying what's reasonable." News of the clause comes just a week before Vale shareholders are due to vote on the fate of the club's five-man board at an Extraordinary General Meeting. They will also vote on the rule which prevents any one person owning more than 24.9 per cent of the club's shares, which is largely seen as protecting the board's position. Chaudry believes the board also had the clause inserted into the loan agreement to further safeguard their status, although a city council spokesman insisted yesterday: "No substantive changes have been made to the original agreements since July 2006." Chaudry added: "The board and myself could have resolved this situation six months ago by trying to come to a settlement with the council. "But they're only interested in protecting their positions, despite only owning 28 per cent of the shares in the club. "My intention is 100 per cent genuine and I'm not walking away. I'm trying to save the club from oblivion. "The EGM has been organised for shareholders to hold a vote of no confidence in the board and my bid is secondary to that. "Then the time will come to do my due diligence and find a resolution to the problem with the council. "I want to give the club a sustainable future on a debt-free basis, but that can only happen if all parties are working towards the same goal." "We were happy to enter into that agreement at the time, because we were not in a position to make demands," he said. These supporters have expressed concern that the Supporters' Club is not fully representative of the club's fanbase, and the Club has passed these comments on to Mr Williams' representatives. Port Vale is not in a position to comment on who a shareholder hands his proxy to, as this is an individual's privilege. Clearly, there is an appetite for change but equally clearly, there are mixed views as to exactly what that change should be. To facilitate the discussions necessary to define the necessary change and to help Port Vale to rebuild and progress, the Board has today invited Mark Sims to join the Board of Directors. In addition, the Board has suggested to North London Valiants that they should nominate a second Director to join the Board, subject to the necessary formalities. The brief of this newly-constituted Board would be (i) to enable the day to day operations of the club to be carried out and (ii) to discuss what should be the exact changes to strategy, management and ownership of Port Vale Football Club. Port Vale Official Site - STATEMENT: MARK SIMSWed 08 Jun 2011 Mark Sims was elected to join the Board of Port Vale at the EGM of 1st June 2011.
Since that time, Mark has seen fit to conduct the necessary formalities of his admission to the Board via various media outlets, rather than in the correct manner, directly with the Club and its legal representatives.Simply phoning the Club, or visiting the Club from his own company office, which is five minutes away, would have enabled Mark to clear up the many misunderstandings which he currently seems to have. Here are the facts of the matter, as they currently stand - 1. Immediately after the EGM, on Wednesday, 1st June 2011, the Directors of the Club opened a constructive dialogue, at a meeting with Mark Sims and the North London Valiants. During that conversation it was agreed that the first necessary step was that Robbie Williams' solicitors should provide formal written confirmation of Robbie Williams' sponsorship of Mark Sims to become a Director. Both Mark Sims and the North London Valiants agreed that this was a necessary formality, and the North London Valiants representatives who had arranged the sponsorship agreed also to arrange that confirmation. Mark was further reminded, during a conversation with the CEO, Perry Deakin, on Sunday 5th June of the necessity to provide that formal written confirmation as a pre-requisite to admission to the Board. As at close-of-business on Tuesday 7th June, the formal confirmation from Robbie Williams' solicitors had not been received by the Club. 2. Subject to that first pre-requisite being correctly fulfilled, a second pre-requisite to admission to the Board (of any professional Football League Club) is that the prospective Director should submit the necessary documentation to the Football League to enable the authorities to carry out their Owners And Directors Test on the applicant. That application must be signed by the applicant and counter-signed by the Club. The copy of that application which was posted off to the Football League prior to the EGM had, as Mark Sims is already aware, been signed by the applicant but not counter-signed by the Club. As at close-of-business on Tuesday 7th June, Mark Sims had not contacted the Club to fill out a new application form, including both of the required signatures, so that it is ready to submit, as and when Pre-requisite 1 has first been fulfilled. In order to assist Mark Sims to complete the necessary application, Bill Lodey, in his role as the Company Secretary, will contact Mark on Wednesday 8th June to arrange a convenient time either for Mark to visit the Port Vale offices or for himself to visit Mark's offices, so as to complete the application. The application will then be held on file until Pre-requisite 1 is fulfilled, at which point it will immediately be submitted to the Football League by Bill Lodey. 3. The correct approach to carrying out due diligence is never via a press release. If Mark Sims would like to submit the questions which he mentions in his press release to the Club, in the proper formal manner, in writing either directly from himself or via his legal representatives, then they will readily be answered. Detailed financial due diligence will also be arranged promptly, once Mark Sims has satisfied the above-stated Pre-requisites 1 and 2. It is self-evidently inappropriate that someone who does not yet own any shares in his own right, and has not yet provided proof of sponsorship by a shareholder who does satisfy the minimum share qualification, should be granted access to the club's financial information. It is equally self-evidently inappropriate that someone who has not yet satisfied the Football League's Owners And Directors Test in order to qualify as a Director should be granted access to the club's financial information. 4. When Mark Sims has asked the questions which he mentions in his Press Release, but which he has not yet submitted to the Club, and has then received the answers - Mark will be aware of the exact extent of the "financial obligations, guarantees, responsibilities" which he will be expected to take on as a new Director Mark will also note that the "financial obligations, guarantees, responsibilities" which he would be required to assume are exactly the same as those which the present and preceding Directors have sustained for many years, and which the present Directors continue to sustain now. Mark will further note that those "financial obligations, guarantees, responsibilities" are rational and well-considered, and are also absolutely essential for the successful operation of the Club. Every new Director of Port Vale is required to take on an exactly equal share of those "financial obligations, guarantees, responsibilities", and Mark Sims will also be so required. 5. Engaging in negative and unfounded comments about the state of the Club's finances, and the completeness of the information provided therein, before Mark Sims and his representatives have even seen the accounts is clearly both irrational and a poor start to what we hope will be a constructive and respectful working relationship, in order to help Port Vale to progress in the coming season. Port Vale is regularly complimented by the Football League on the exemplary clarity and completeness of all of its accounts. Mark Sims and his accountant will be able to see this fact for themselves, as and when Mark Sims fulfils the necessary pre-requisites described above. 6. To deal with the other incorrect claims - Major shareholders have not had current Directors asking them to consider selling their shares. Our best understanding of the facts is that one major shareholder, who currently has some business difficulties, was given the generous offer by one former Director of help in finding someone to buy his shares. That buyer would not be either that former Director or any of the current Directors, and it was always made clear to the shareholder that this was the case. All three Directors are not now on holiday; two Directors are working, one is on a well-earned holiday. The Club's Head of Finance is also working his usual schedule and could never, in any case, be "instructed to take three weeks leave" as Mark Sims suggests. 7. Referring to Micky Adams as "an 'insider' type fourth director" is offensive and wholly inaccurate. All supporters who are good judges of character will know that Micky Adams always has been, and always will be, entirely his own man. Micky has set out in great detail his reasons for applying to become a Director of Port Vale, and all of those reasons are admirable and of benefit to the future of Port Vale. Mark Sims would do well to learn from Micky's good example, and start putting Port Vale first. In addition, the announcement of Micky Adams' candidacy now gives Mark Sims the further time to consider his own candidacy which Mark himself has stated he requires, so should also be welcomed by Mark on those grounds. 8. Port Vale's board ignores the fan message11 June ~ The long-running soap opera that has been going on at Port Vale shows no sign of abating over the summer months. Centre-stage is the vastly unpopular Port Vale board. Despite regularly professing to be "for us all" and being a "supporters-led board", the three current directors gained just the support of just 14 fans among over 900 who responded in a recent poll. An EGM called by the supporters was held, at the board's request, on a Wednesday morning in the middle of school holidays. The board – comprised of five men at the time and nicknamed the Jackson Five after one of them, Peter Jackson – insisted on a ballot conducted on a "one share, one vote" basis, despite the group's founding principle being "one shareholder, one vote". This enabled a handful of large shareholders – chief among them, local businessman Rob Lee – to keep three of the board in power, although two other directors were ousted and the board lost an overall vote of no confidence. Remarkably, despite publicly declaring on no less than 14 occasions that he would "happily stand down" if he lost the support of the fans, chairman Bill Bratt duly ignored calls from shareholders to resign, and remained on the board. The EGM left the club with a non-viable board of just three directors. Manager Micky Adams, back for a second spell at the club after a few months with Sheffield United, was controversially asked to stand as a fourth director, thus allowing the board to function legally. But it then came to light that Adams, who is not a shareholder, would have his directorship sponsored by Stan Meigh, one of the directors deposed at the EGM. The news immediately lead to accusations of Adams being a board pawn and calls for a man who confesses to have "no interest in club politics" to stay out of the boardroom. The Sproson Fund has spent ten years raising funds for a statue of late Vale legend Roy Sproson. Roy made 844 appearances in 20 years with the Vale, his only league club, who he also managed. In many fans' eyes, he was/is the ultimate Port Vale ambassador. The board delayed work on the statue's foundations, citing a lack of proper "paperwork". The Sproson Fund were furious and saw this as the board hitting back at the group for supporting the pro-change lobby. For many Vale fans, it is the ultimate insult. It's one thing to remain in power when hugely unpopular or to not resign when you've promised to do so on many occasions, but to denigrate the memory of a Port Vale legend is simply a step too far. Chaudry claims he agreed a deal with Lee to buy Broxap's shares for £40,000, plus Vale Park and matchday programme advertising said to be worth a further £4,700. He says Lee broke their confidentiality agreement by outlining the details of their deal in an e-mail to supporters which was then posted on the OneValeFan website. Lee states in the e-mail that Broxap felt "cheated" by Chaudry's "inadequate and unfair offer" and that Bratt offered to pay the full £50,000 immediately "without conditions". Chaudry insists he was unable to buy Broxap's shares immediately as the deal required board approval, plus there was an embargo on share transfers from late April until after the EGM. "I was not trying to get Broxap's shares on the cheap," added Chaudry. My accountant advised me to offer Broxap benefit in kind by way of sponsorship to the tune of £50,000 if I took over because the shares are worthless. "That was not accepted, but Mr Lee came back to me and said they were looking for me to buy their shares at face value or near to face value. "So that opened the door because they wanted to do the deal without necessarily accepting the full price. "I made an offer which I thought was more than reasonable. I offered a 20 per cent discount, but it was still at a premium price because the shares are worthless due to the precarious finances of the club. "Once they had received the counter offer they had a moral and legal courtesy to come back to me ... but they didn't for the sake of £5,300." Sentinel - Micky Adams joins Port Vale boardPORT Vale have a legitimate board again after manager Micky Adams received the backing of sufficient club shareholders to become a director. The 49-year-old boss needed to attract the backing of more than 50 per cent of the club's total shareholding – or 117,471 shares worth £587,355 – in the postal ballot. He surpassed the target after 123,021 shares worth £615,105 were cast in favour of his appointment, the club announced last night. But the announcement of Adams's new role was met by continued opposition from fans' groups opposed to the current regime at Vale Park. Adams launched his bid to join the board after the club's June 1 extraordinary general meeting left Vale with just three directors – one short of the legal minimum. The impasse meant Adams was unable to bring in new players or confirm the contracts of those already at the club. He said: "It's less than two weeks until the players report for pre-season training and I'm very pleased that we're finally able to bring in new faces. "It's not been an ideal situation for anyone and I'm looking forward to getting on to the training pitch before the fixtures start in August." Adams, pictured below, will join Bill Bratt, Mike Lloyd and Glenn Oliver in the Vale Park boardroom. He does not own shares in the club, but has been sponsored by Stan Meigh, one of two directors voted off the board at the EGM. "We're delighted Micky has received the support of our shareholders in joining the board," added Vale chief executive Perry Deakin. "This will offer immediate benefits in terms of signing players and operating as a functioning board." But representatives from anti-board groups continue to voice their opposition to Adams's elevation. Gerald Fielding, the father of OneValeFan website operator Rob Fielding, was at Vale Park yesterday to ensure the share count was conducted correctly. Fielding Jr, aged 40, from Aylesbury, said: "We oversaw the counting in an unofficial capacity and we're happy with how that part of the voting process was carried out. "However, we remain disappointed with Micky Adams's decision. "He's directly supporting a board with no mandate from the fans and we appeal for him to step down. "We're here for the long-term and the campaigning will continue. Our monitoring of the vote shows fans will be scrutinising this board's every move." Alan Baker, spokesman for the Black and Gold Until It's Sold campaign, added: "Micky has entered very difficult territory. As far as I'm concerned it puts him in the same category as the rest of the board. "The battle will go on regardless, and if that means Micky has to go with the rest of the current board, then so be it." Dave Felstead, vice-chairman of Port Vale Supporters' Club, said: "Micky said he only wanted to be involved with what happens on the pitch, not in the boardroom. But by doing this, he's not being true to his word. "It's hard to be positive about this because the board shouldn't be in place after losing a vote of no confidence at the EGM." Broxap's CEO Rob Lee has been embroiled in controversy after a last-minute switch saw Broxap's EGM proxy vote switch from Mr Chaudry to the Port Vale board. Many shareholders believe Broxap's switch was crucial in allowing the board to stay in power. Last week, OVF reported that Mo Chaudry was considering legal action after being cheated" out of a deal to purchase Broxap's shares. As you can see from the emails below I responded a second time within 2 hours with a clear & unequivocal statement..... "I have nothing to add other than I hope Mr Chaudry buys a ticket with his own money to watch Port Vale play Crawley Town at Vale Park on August 6th, kick off 3pm". Firstly I wish to unreservedly apologise to Mr. Chaudry if he feels that I have made any statement which he considers damaging to his reputation, this was not my intention. We were intent on keeping the discussions confidential until Mr. Chaudry's use of the word 'decency' when referring to myself during his Radio Stoke public broadcast on 1st June which I thought was offensive, inappropriate & hurtful, this followed within 48 hours by the receipt of what I can only be described as a moronic barrage of intimidating, ill informed & highly critical protestations in the form of emails from over 19 of Mr. Chaudry’s disciples. In view of these unjustified assaults we made a considered detailed response to combat the Black PR campaign being generated by over 19 individuals. Each email & it’s sender ( as a witness ), together with press misrepresentation will be used as mitigating evidence during the High Court litigation on which Mr. Chaudry ponders. Mr. Chaudry & I share the same Accountants & Lawyers. I have been informed by one such shared Advisor that he told Mr. Chaudry “I know Robert Lee, just don’t take the pixx” He did not listen to the advice & delivered us a £10000.00 low ball. The reality is that I did urge Mr. Chaudry to engage Lawyers to professionally execute the agreement, but Mr. Chaudry wrote "If you wish to use the lawyers then it is for you to make the necessary arrangements". My point is that if Broxap's shares were so pivotal, why on earth didn't Mr. Chaudry execute the deal properly & make the agreement either irrevocable or for a fixed period. I thought this was sloppy. We made an investment into Port Vale of £50000.00 for 6 years & have additionally sponsored with over £70000.00 the Club every year for the last 6 years. Mr. Chaudry appears to have purchased no shares, no sponsorship & purchased no tickets. Mr Chaudry appears to be claiming that with Advisors fees of only £30000.00 he would likely have taken control of Port Vale by virtue of using Broxap's & other shareholders voting rights, without actually buying a single share himself. If only he had purchased a few bob’s worth of shares himself it could have been a master stroke of business opportunism. In my opinion Mr Williams has been poorly advised & should have kept out of the matter rather than becoming aligned to the three intimidating anti Board factions. I would imagine Mr. Williams would consider selling his shares ( at the face value ) to Mr. Chaudry, subject to Port Vale Board of Directors agreement. What better way for Mr. Chaudry of demonstrating his long term commitment towards Port Vale than by purchasing Mr. Williams shares in one clean trade at the face value of £5 per share. It would be inconceivable for the Port Vale Board to refuse an offer which included Mr. Chaudry buying Mr. Williams’ shares ( at face value ) & simultaneously purchasing another £250000.00 of new shares which would then provide Mr. Chaudry with the 51% trophy he so desperately craves.
